Individual User Terms

Clear terms for every person using DeskSide.

1. About these terms

These Individual User Terms govern an individual's access to and use of DeskSide, including a free evaluation, an invitation to a workspace and use as an authorised member of a customer-managed workspace.

DeskSide is provided by Secure Radio Communications Limited, company number 17234027, registered in England and Wales, with registered office at 82a James Carter Road, Mildenhall, Bury St. Edmunds, England, IP28 7DE.

By actively accepting these terms, you agree with us in your personal capacity as a DeskSide user. You do not make your employer responsible for charges merely by creating or joining a free workspace. An organisation becomes a paying Customer only when an authorised person accepts the Customer Terms or signs an Order Form on its behalf.

2. Business use and eligibility

DeskSide is intended for workplace and other business use, not personal or household use. You must be at least 18 and legally able to accept these terms.

You must provide accurate information, be permitted to use the email address and device involved, comply with relevant organisation policies and use DeskSide lawfully. You do not need purchasing authority to participate in a free evaluation. If you purchase for an organisation, you must have authority to do so.

3. Work email and organisation management

If you register with an employer or organisation email address, you acknowledge that it is a work identity and may not remain under your personal control. An organisation that proves control of the domain and the authority of its administrator may ask us to make related accounts and workspaces organisation-managed. Where practicable, we will notify affected users before that takes effect.

A verified administrator may manage members, licences, rooms, settings, security policies and administrative metadata, and may transfer or consolidate agreed workspaces. Organisation management does not provide recordings of room audio because DeskSide does not record or archive room audio at launch.

4. Free evaluation

The standard evaluation lasts 14 days and has no fixed named-user cap. It does not require a payment card. Every person must accept these terms before their individual access is provisioned.

The evaluation is for assessment and creates no obligation to buy. We may apply proportionate rate, fair-use or operational controls, or limit or suspend access, for security, abuse prevention, legal compliance or service stability. These controls are not a normal team-size restriction.

5. Named-user security

Accounts, invitations, activation links, device secrets and PINs are personal and must not be shared. Keep them secure, report loss or compromise promptly, keep details current and follow reasonable security instructions. Invitations may expire or be revoked.

6. Acceptable use

You must not use DeskSide unlawfully, fraudulently, abusively or to harm another person; impersonate others; bypass named-user or security limits; introduce malware; probe or disrupt systems; obtain unauthorised access; infringe rights; or reverse engineer the service except where law expressly permits.

You must not record another person's voice using another device or tool without all required permissions and notices.

DeskSide is not an emergency, public-safety, dispatch, life-safety, lone-worker or medical-response service and must not be the only available communication method. Maintain appropriate alternatives.

7. Voice and workspace information

DeskSide processes live voice transiently so authorised participants can hear it. At launch, we do not record or archive room audio. We may process identity, membership, presence, room participation, device, activation, security and diagnostic information as explained in the Privacy Notice. Respect other participants' confidentiality and workplace rights.

8. Privacy

The Privacy Notice explains how personal data is used. Acknowledging it records that it was made available; it is not consent to every use and is not marketing consent.

For a customer-managed workforce workspace, the Customer will normally control workforce data and Secure Radio Communications Limited will normally act as processor for workspace operation, while remaining controller for its own account, security, legal and business records.

9. Ownership and feedback

Secure Radio Communications Limited and its licensors own DeskSide, its software, branding and documentation. You receive a limited, non-exclusive, non-transferable and revocable right to use it during the applicable evaluation or subscription.

You and the relevant organisation retain rights in information you provide and permit the processing needed to operate, secure and support DeskSide. We may use voluntary feedback without payment; do not include another person's confidential information.

10. Availability and support

We will provide DeskSide with reasonable care and skill. It is otherwise supplied on an available basis. We do not guarantee uninterrupted or error-free operation, compatibility with every device or network, preservation of every feature or availability at a particular time.

There is no guaranteed uptime, response time, resolution time, service credit or financial penalty under these User Terms. A different commitment must appear expressly in a Customer Order signed by Secure Radio Communications Limited.

11. Suspension and ending access

You may stop using DeskSide at any time. A workspace administrator may remove access under its policies and Customer agreement. We may suspend or end access for breach, security or legal risk, suspected abuse, expiry or termination of the relevant evaluation/subscription, an authorised Customer request or discontinuation. Where practical and safe, we will provide notice and an opportunity to remedy a remediable breach.

12. Liability

Nothing excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or liability that cannot lawfully be limited.

Subject to that, neither you nor we is liable under these User Terms for indirect or consequential loss or loss of profit, revenue, business, anticipated savings or goodwill. Our total aggregate liability to you arising from an individual free evaluation will not exceed £100. Financial remedies for a paid service are governed by the Customer agreement.

13. Changes and general terms

We may update these terms as DeskSide and the law develop. We will give reasonable advance notice of material changes and request fresh active acceptance where appropriate. If you do not agree, stop using DeskSide before the change takes effect.

These terms are governed by the laws of England and Wales, whose courts have exclusive jurisdiction except where mandatory law requires otherwise. No third party has enforcement rights under the Contracts (Rights of Third Parties) Act 1999.
